TECUEN LLC​

1. Acceptance of Terms

By accessing or using tecuen.com (the “Site”), or by purchasing any product offered through the Site, including used equipment, furniture, and related items (“Used Items”), you (“Buyer” or “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Site or complete a purchase.

2. Used Equipment & Furniture Sales

2.1 Sold As-Is, Where-Is

All Used Items offered for sale through the Site are sold in “AS-IS, WHERE-IS” condition, with all faults, and without any warranty of any kind, whether express or implied. TECUEN LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Any description of a Used Item's condition, age, specifications, maintenance history, or included accessories is provided for general informational purposes only, based on the seller's good-faith understanding at the time of listing, and does not constitute a warranty, representation, or guarantee of any kind.

2.2 Buyer's Responsibility to Inspect

Where local pickup is available, Buyer is strongly encouraged to inspect a Used Item in person prior to completing purchase. By completing a purchase, Buyer acknowledges that Buyer either has inspected the item or has knowingly waived the opportunity to do so, and accepts the item in its condition as of the time of sale.

2.3 All Sales Final

ALL SALES OF USED ITEMS ARE FINAL. Tecuen LLC does not accept returns, issue refunds, or process exchanges for any reason — including but not limited to buyer's remorse, compatibility or installation issues, or dissatisfaction with an item's condition — except where required by applicable law.

3. Payment, Pickup & Delivery

3.1 Payment

Full payment is due at the time of purchase through the payment methods made available at checkout. Items will not be released for pickup or shipment until payment has been received in full.

3.2 Local Pickup

For items designated as local pickup only, the exact pickup location and time will be coordinated directly with Buyer after purchase. Risk of loss and title to the item transfer to Buyer upon pickup.

3.3 Shipping

For items designated as shippable, risk of loss transfers to Buyer upon delivery of the item to the shipping carrier. Buyer is responsible for confirming, prior to purchase, that an item's dimensions, specifications, and power or utility requirements are compatible with Buyer's intended use and location.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TECUEN LLC'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO ANY PURCHASE SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY BUYER FOR THE APPLICABLE ITEM.

IN NO EVENT SHALL TECUEN LLC, ITS MEMBERS, MANAGERS, OFFICERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING WITHOUT LIMITATION LOST PROFITS, BUSINESS INTERRUPTION, PROPERTY DAMAGE, OR PERSONAL INJURY ARISING FROM THE INSTALLATION, OPERATION, OR USE OF ANY USED ITEM — EVEN IF TECUEN LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5. Assumption of Risk

Following pickup or delivery, Buyer assumes full responsibility and all risk for the transport, installation, operation, maintenance, and use of any Used Item, including compliance with any applicable electrical, plumbing, health, safety, or building codes governing its use.

6. Indemnification

Buyer agrees to indemnify, defend, and hold harmless Tecuen LLC, its members, managers, officers, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to Buyer's purchase, transport, installation, resale, or use of any Used Item obtained through the Site.

7. Governing Law & Venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to a purchase made through the Site shall be resolved exclusively in the state or federal courts located in Bastrop County, Texas.

8. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

9. Changes to These Terms

Tecuen LLC may update these Terms from time to time. Changes will apply prospectively to purchases made after the updated Terms are posted to the Site. Continued use of the Site or completion of a purchase after changes are posted constitutes acceptance of the updated Terms.
